1. Acceptance of Terms

By accessing or using the VaniCast platform (the “Service”) you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

VaniCast is a podcast‑hosting, publishing and discovery platform powered by the public Podcast Index API. We provide podcasters with storage for audio files, RSS‑feed generation, analytics, and distribution tools. Listeners can browse, stream, and subscribe to podcasts hosted on VaniCast.

3. Account Registration

To use any paid features of VaniCast you must register for an account. You agree to:

• Provide accurate, current and complete information.
• Maintain the confidentiality of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.

4. User‑Generated Content

You retain ownership of the audio files, show notes, artwork and any other content you upload (“User Content”). By uploading you grant VaniCast a worldwide, non‑exclusive, royalty‑free licence to host, reproduce, distribute, display and promote your content as necessary to provide the Service.

You represent and warrant that:

• You have all rights, licences and permissions needed for the User Content.
• Your content does not infringe any third‑party rights, contain defamatory material, hate speech, illegal content, or violate applicable law.

5. Prohibited Conduct

You may not:

• Use the Service for any unlawful purpose.
• Distribute malware, viruses, or any malicious code.
• Scrape, harvest or otherwise extract data from the Service for commercial use without our written permission.
• Impersonate any person or entity, or otherwise misrepresent your affiliation with VaniCast.
• Attempt to bypass any security measures or access data that you are not authorized to access.

6. Payments, Billing & Refunds

If you purchase a paid plan you agree to:

• Provide a valid payment method (credit card, PayPal, etc.).
• Pay all fees on the schedule shown on the pricing page.
• Allow us to charge your payment method for recurring subscription fees, taxes and any additional over‑usage fees.

All fees are non‑refundable except where required by law. If a payment fails we will suspend your account until the outstanding amount is paid.

7. Intellectual Property

VaniCast and its associated trademarks, logos, and service marks are the exclusive property of AMRIT‑Corp.com. No licence or right is granted to you under any VaniCast trademark except the limited licence to use the Service in accordance with these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMRIT‑CORP.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND AFFILIATES WILL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential or punitive damages, including loss of revenue, profits, data or use.
• Any loss or damage arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
• Loss of the ability to broadcast, store or otherwise distribute your content.

10. Termination

You may terminate your account at any time via the account settings page. We may terminate or suspend your access immediately, without prior notice, for any breach of these Terms, illegal activity, or at our sole discretion.

Upon termination, all of your User Content may be removed from VaniCast’s servers after a reasonable retention period (typically 30 days). We are not liable for any loss of content after termination.

11. Indemnification

You agree to defend, indemnify and hold harmless AMRIT‑Corp.com, its affiliates and their respective officers, directors, employees and agents from any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your breach of any third‑party rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict‑of‑law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Austin, Texas.

13. Miscellaneous

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms constitute the entire agreement between you and VaniCast concerning the Service, superseding any prior agreements.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.
